The five-step registration process
The exact sequence depends on your business scope and district, but a typical Harbin setup follows five stages.
Step 1 — Pre-registration and name. Decide the entity type, business scope, registered capital and registered address. Reserve a company name through the market regulation system; names must be unique and follow Chinese naming rules.
Step 2 — Foreign investment information reporting. Under the Foreign Investment Law framework, foreign investors file information through the national foreign investment reporting system, typically at establishment and when material changes occur. Confirm current requirements with local authorities or counsel.
Step 3 — Business license. Submit the incorporation application to the local SAMR (market regulation) office. On approval you receive the business license, which carries the unified social credit code.
Step 4 — Post-license steps. Have company seals made, open a bank account, complete tax registration, and handle foreign exchange and customs registration if you will import or export.
Step 5 — Operational setup. Arrange accounting, payroll, social insurance and any sector-specific permits. If your scope includes restricted activities, obtain the required approvals before or alongside registration.
- Name reservation → information reporting → business license → seals, bank, tax → operational compliance
- Some steps run in parallel; sector permits may add time
